Terms of Service

These Terms govern your account and your use of tangiblewp.com and app.tangiblewp.com (the "Website"), together with everything we provide through it: the Trial, Licenses, Care, Support, Initial Setup, and External License registration (together, the "Services"). We are Tangible Design s.c., ul. Solarza 22 lok. 54, 35-118 Rzeszów, Poland, NIP 8133576938 ("we", "us", "our"). By starting a Trial, creating an account, or making a purchase, you agree to these Terms.

These Terms set out what you can buy and do with us. If you hold an External License, that purchase is governed by the terms of the marketplace where you bought it, not by these Terms. You can still register it with us (Section 8): these Terms then govern that registration and the account features it unlocks, but not the External License itself.

Some sections apply only to specific Services: Section 4 applies if you buy a License, Section 5 if you subscribe to Care, and Section 8 if you hold an External License. The sections that protect both sides (acceptable use, Your Content, disclaimers, and limitation of liability) apply to everyone with an account.

1. Definitions

  • Theme: any WordPress theme we license to you, or run for you.
  • Trial: the free, time-limited website in Section 3.
  • License: the one-time Lifetime License to a Theme, bought from us, in Section 4.
  • External License: a license to one of our Themes that you bought from another marketplace, and can register under Section 8.
  • Care: our managed website service in Section 5.
  • Support: the assistance in Section 6.
  • Initial Setup: the optional setup service in Section 7.
  • Your Content: anything you upload, provide, or publish through the Services.

2. How purchases work

Purchases are processed by Paddle, which acts as Merchant of Record and seller for those transactions. Your payment, billing, and tax are subject to Paddle's buyer terms and privacy notice shown at checkout. These Terms govern your use of the Services.

3. Free Trial

The Trial is a temporary website provided "as is" and "as available", with no warranties. It expires, and we may change, limit, or withdraw it at any time. When it expires, the trial website and its data may be permanently deleted after a short grace period, and we are not obliged to retain or recover them.

4. License

When you buy a License, you can download the Theme and use it on one live website at a time, for yourself or for a client, plus one test website. You may move it to a different website or domain, or start a new one, as long as you keep it to one live website at a time. You cannot transfer, resell, or share the License or the Theme files.

You pay for a License once. It includes updates and Support for the period shown at the time of purchase, but not Care. We own the Theme; a License gives you the right to use it, not ownership of it.

5. Care: managed website service

Care is a recurring subscription and a fully managed website service: we set up, run, maintain, and back up your website for you, fully installed and configured, with direct help from our team. Initial Setup is available if you want it but is not required (Section 7). While your subscription is active, you are licensed to use the website we run for you. Your site is published at a default address we provide, and you can connect your own domain instead.

Care runs on shared infrastructure and is meant for one normal website. You will not resell it, or use it in a way that places a disproportionate load on the shared environment (excessive processing, memory, storage, or bandwidth) or that affects other customers. If your use is disproportionate or affects others, we may limit, throttle, or suspend the site, with or without prior notice.

Care is billed monthly in advance through Paddle. You may cancel at any time, effective at the end of the current billing period; the subscription ends on cancellation or non-payment. After it ends, and after a short grace period, the website and its data are permanently deleted. Care is provided on a reasonable-effort, "as available" basis, with no guaranteed uptime, and may be interrupted for maintenance or discontinued. We may change the price: a new price applies to new subscriptions, and for an active subscription it applies only after you confirm it. Any refund follows our Refund Policy.

6. Support

Support covers your Theme on a reasonable-effort basis: how-to and technical questions about its features, help with bugs you report, guidance on bundled third-party assets, and best-practice advice. We do not guarantee a response time.

With a License, Support runs for the period shown at the time of purchase and can be extended. With Care, Support is included for as long as your subscription is active.

Support does not cover customization, custom code, or new features; your own servers or infrastructure; files that have been modified; or third-party services we did not bundle.

For an External License you registered under Section 8, Support follows the marketplace's terms.

7. Initial Setup

Initial Setup is optional and available to Care subscribers. Based on a brief you send to support@tangiblewp.com, we set up your site: matching colors, typography, and style to your brand, filling template pages with text and photos you provide, configuring custom fields for your business, and writing SEO text for your pages. It does not include building a website to a custom design, custom development, or creating content beyond the above. You can request it at the start of, or any time during, your subscription.

8. Registering an External License

If you hold an External License, you can create an account and register it. Registration is optional and free. It confirms your External License and your domain, and unlocks the Theme's account features.

When you register, you confirm the External License is valid and yours, used on one live website per license, consistent with the marketplace's terms. Registration does not create or change a license: your right to use the Theme continues to follow the marketplace you bought it from. We may verify it, and suspend or remove a registration if the External License is invalid, refunded or reversed, used beyond what it allows, or if these Terms are breached. These features are provided as available and may change.

9. Acceptable use, suspension and termination

You will not use the Services to break the law; to publish or store unlawful, infringing, or harmful content; to distribute malware or seek unauthorized access; or where prohibited by applicable sanctions or export laws.

We may suspend or terminate your account or access for breach, abuse, non-payment, or where required by law. You may stop using the Services, and cancel any subscription, at any time.

If you believe content stored or published through our Services is illegal or infringes your rights, report it to support@tangiblewp.com. We review valid reports and may remove the content or suspend the account involved.

10. Your Content

You keep ownership of Your Content and grant us the limited rights needed to store, process, and display it to provide the Services. You are solely responsible for Your Content, confirm you have all necessary rights and consents, and are responsible for your website's legal compliance toward its visitors.

11. Disclaimers

To the maximum extent permitted by law, the Services are provided "as is" and "as available", and we disclaim all express or implied warranties, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure. This does not limit warranties that cannot be excluded by law.

12. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, or consequential damages, or for lost profits, revenue, data, or goodwill. Our total liability relating to the Services is limited to the amount you paid us in the twelve months before the claim, or EUR 100, whichever is greater. These limits do not apply to liability that cannot be excluded by law, including for fraud or under mandatory consumer rights.

13. Indemnification

To the extent permitted by law, you will indemnify us against claims, damages, and costs (including reasonable legal fees) arising from Your Content, your use of the Services, or your breach of these Terms.

14. Changes to these Terms

We may update these Terms and will update the effective date; where a change materially affects you, we will give reasonable notice. Continued use after a change is acceptance.

15. Consumer rights

If you are a consumer, nothing in these Terms affects your mandatory statutory rights, including any right of withdrawal that applies. Where a provision conflicts with those rights, they prevail.

16. Governing law

These Terms are governed by Polish law, and the Polish courts have jurisdiction.

17. General

These Terms, together with our Refund Policy and the Paddle terms shown at checkout, are the entire agreement between us regarding the Services and replace any prior understanding. If any provision is unenforceable, the rest remains in effect. You may not transfer your rights or obligations under these Terms without our consent; we may transfer ours, for example as part of a merger, acquisition, or sale of assets.
